Documents Required for Application  

1.Enterprise development funds, reserve fund ( or capital reserves, capital surplus), undistributed profits, dividend re-investment( capital increase ) application form ( get from Administration of Foreign Exchange or download , seal required) 
 2.Application report ( basic conditions of investors, basis conditions of profit-making enterprises, basic conditions of profit distribution, equity structure of the enterprise to be invested)
 3. Foreign Exchange Registration Certificate( the original will be returned after verification)
 4. Latest capital verification report and relevant annual audit report ( original as well as stamped photocopy) 
 5. The board of directors’ scheme and resolution to profit distribution( original)
 

6. Foreign Economic Relation & Trade Commission’s approval for the capital increase and supplement to article of association ( original and stamped copy)  7.Relevent tax clearance certificate and government’s permit for tax deduction and exemption 
 8. In case profits are invested in other companies, besides above mentioned documents, invested enterprise’s capital verification report before capital increase, approval of Foreign Economic Relation & Trade Commission ( capital increase or establishment), approval certificate, business license, contract and articles of association ( verify original or stamped photocopy, back up photocopy)
9. Transfer of capital reserves to capital increase, a special capital reserves audit report issued by CPA needs to be submitted )   
10. other necessary documents under certain circumstances
 

Note: Fill out “ capital resource” column with above mentioned development funds, reserve funds, undistributed profits, and payable dividend types

2.      The issue of << Approval Instrument of the State Administration of Foreign Exchange for Foreign Exchange Dealings under Capital Account>> after Administration of Foreign Exchange’s audit. 3.      The enterprise with the <<Approval Instrument of the State Administration of Foreign Exchange for Foreign Exchange Dealings under Capital Account>>can entrust an agent with handling capital verification procedures, foreign exchange registration of foreign-investors’ re-investment, foreign exchange registration of foreign capital re-investment,approval of FDI projects.
